Disclosure Policy

Basic Policy

Systena Corporation ("the Company") shall conduct the fair, timely and appropriate disclosure of important information concerning its business to all of its stakeholders, including shareholders and investors, so that they may better understand the company and to facilitate due diligence.

Information Disclosure Standards

  • (1)The Company shall promptly disclose information based on transparency, fairness and continuity and in accordance with the Timely Disclosure Rules prescribed by the Tokyo Stock Exchange and relevant laws including the Companies Act and the Financial Instruments and Exchange Act.
  • (2)When deemed useful to all of our shareholders and investors, we shall actively and fairly disclose information even when it does not constitute material facts as provided for in the Timely Disclosure Rules or related laws.

Methods of Information Disclosure

  • (1)The disclosure of information constituting material facts as provided for in the Timely Disclosure Rules shall, in accordance with those rules, be conducted through the TDnet system (timely disclosure network system) operated by the Tokyo Stock Exchange.
  • (2)For information that does not fall under these rules, information that may affect investment decisions shall be promptly disclosed in a fair and appropriate method with respect to its level of importance and urgency.
  • (3)We consider the website to be one of the means of communicating important information to all investors, and information disclosed through TDnet shall be promptly uploaded to the website.

Quiet Period

To prevent unauthorized disclosure of financial results information and ensure fairness, the company shall impose a silent period of one month prior to its releasing its financial results information. During this period, the company shall not respond to any inquiries regarding its financial results.

Regarding Future Prospects

With the exception of statements on past facts, the information disclosed constitutes information on future prospects provided at the discretion of the Company based on currently available information, and this carries with it risks related to the economic climate, market trends, and changes to the taxation system and various systems, as well as other uncertain factors. For this reason, please be advised that the actual results reported in the future may vary depending on these various factors.
